General Information:
Houghton Mifflin Harcourt has received approval from over 90% of its lenders on the terms of a comprehensive financial restructuring plan that will strengthen the Company financially. This plan will eliminate $3.1 billion of debt through a debt to equity transaction, and reduce annual cash interest costs. With a more appropriate capital structure to support its strategic plan and business objectives, the Company will have greater financial flexibility to pursue growth opportunities in the digital, consumer and international markets. To begin the court approval process for this plan, on May 21, 2012, each of the 25 Debtors filed voluntary petitions for relief under Chapter 11 of the United States Bankruptcy Code (the "Bankruptcy Code"). The cases are jointly administered under Case No. 12-12171 (collectively, the "Bankruptcy Cases") and are pending before the Honorable Judge Joan N. Feeneyin the United States Bankruptcy Court for the District of Massachusetts.

Meeting of Creditors: A meeting pursuant to section 341(a) of the Bankruptcy Code (the “Section 341(a) Meeting”) was held at the Office of the United States Trustee for the Southern District of New York, 80 Broad Street, 4th Floor, New York, NY 10004 on June 29, 2012 at 1:00 p.m. prevailing Eastern Time. Such meeting will not be convened if (i) the Prepackaged Plan is confirmed prior to the date set forth above for the Section 341(a) Meeting and/or (ii) the order confirming the Prepackaged Plan (or order entered substantially contemporaneously therewith) contains a provision waiving the convening of a Section 341(a) Meeting. |

Rule 9001(5) of the Federal Rules of Bankruptcy Procedure requires that a representative of the Debtors appear at the Meeting of Creditors for the purpose of being examined under oath by a representative of the Office of the United States Trustee and by any interested parties that attend the meeting. Creditors are welcome, but not required, to attend the meeting. The Meeting of Creditors may be continued or adjourned by notice at the meeting, without further written notice to creditors.
