General Information:

On November 16, 2015, QSL of Medina, Inc. and certain of its subsidiaries and affiliates (the "Debtors") filed voluntary petitions for relief under chapter 11 of the United States Bankruptcy Code (the "Bankruptcy Cases") in the United States Bankruptcy Court for the Northern District of Ohio (Akron) (the "Court"). The Debtors' bankruptcy estates are being jointly administered under Case No. 15-52722 pursuant to the Court's order entered November 17, 2015. The Debtors continue to operate their businesses as debtors-in-possession during the pendency of the Bankruptcy Cases.

Immediately after the filing of the Bankruptcy Cases, the Debtors moved the Court for the entry of orders approving: (i) debtor-in-possession financing during the pendency of the Bankruptcy Cases; and (ii) certain sale and bidding procedures related to the sale of substantially all of the Debtors' assets.

On December 4, 2015, the Office of the United States Trustee, Region 9, appointed the Official Committee of Unsecured Creditors (the "Committee") in the Bankruptcy Cases. Members of the Committee include: (i) Campana Properties, Inc.; (ii) University Quaker Steak & Lube, LLC; and (iii) Sandusky Bay Co., Ltd. On December 8, 2015, the Committee held its organizational meeting, and resolved to engage Wickens Herzer Panza Cook & Batista, Co. ("WHP") as its legal counsel, and BDO USA, LLP ("BDO") as its financial advisor, to assist it in evaluating, among other things, the Debtors' finances and operations, and the sale process. The Court has approved the Committee's engagement of both WHP and BDO.

On December 23, 2015, the Committee moved the Court for the entry of an order establishing certain procedures for the dissemination of information to creditors of the Debtors.
