General Information:

On February 9, 2020, Valeritas Holdings, Inc. and its subsidiaries (collectively, the “Company”) filed voluntary petitions for relief under Chapter 11 of the U.S. Bankruptcy Code in the United States Bankruptcy Court for the District of Delaware. The cases are pending before the Honorable Laurie Selber Silverstein.

The Company filed for Chapter 11 to accomplish the sale of substantially all of its business to Zealand Pharma A/S (“Zealand”), a Denmark-based biotechnology company. The Company has filed a motion requesting approval of a stalking horse asset purchase agreement with Zealand and a competitive bidding process under Section 363 of the Bankruptcy Code designed to achieve the highest or otherwise best offer for the business.

Valeritas expects to continue operating its business as usual and has obtained a commitment for debtor-in-possession (“DIP”) financing from HB Fund LLC. Subject to Court approval, this DIP financing will provide sufficient liquidity to support ongoing operations during the process, including the continued production and sale of V-Go®.

Rule 9001(5) of the Federal Rules of Bankruptcy Procedure requires that a representative of the Debtor appear at the Meeting of Creditors for the purpose of being examined under oath by a representative of the Office of the United States Trustee and by any interested parties that attend the meeting. Creditors are welcome, but not required, to attend the meeting. The Meeting of Creditors may be continued or adjourned by notice at the meeting, without further written notice to creditors.
