In accordance with the Bidding Procedures Order, the Debtors have evaluated each bid made and selected the Stalking Horse Bid submitted by the Stalking Horse Bidder for the purchase of the Purchased Assets. General Information:

On August 2, 2017, the debtors (the "Debtors") filed voluntary petitions for relief under Chapter 11 of the United States Bankruptcy Code (the "Bankruptcy Code"). The cases (collectively, the "Bankruptcy Cases") are jointly administered before the Honorable Christopher S. Sontchi in the United States Bankruptcy Court for the District of Delaware.
